BACKGROUNDThe Company was incorporated on 14 July 2005 under the name of Cougar Corporation Private Limited. The Company was a wholly-owned subsidiary of Singapore Shipping Corporation Limited ("SSC"). The Company assumed its present name on 12 September 2005 upon the completion of the Restructuring Exercise in SSC.
Cougar Logistics is a Singapore-based group. The Group engages principally in the provision of warehousing, logistics, agency and terminal operations services. The Group provides services such as freight forwarding, general warehousing and regional distribution services, warehouse management, international shipping, car freighter services, and the transportation of plant and project cargo and specialise in the transportation and storage of automotive parts, office machines and equipment, consumer electronics, and wines and spirits.

BACKGROUNDChuan Hup Holdings Limited ("CHH") was founded in 1970 as a tug and barge service provider for the PSA Corporation in Singapore initially. The company subsequently developed a core competency in the provision of marine transportation services to the mining and energy sectors within the ASEAN region. The Chuan Hup Holdings Limited Group (the "group") including associated companies, owns, operates and manages a diverse and modern fleet of over 150 vessels.
On 14 February 2005, CHH entered into an agreement with Habib Corporation Berhad (“HCB”), pursuant to which HCB will acquire from CHH the following:
(a) the entire marine logistics business of CHH which is undertaken substantially through six subsidiaries of CHH;
(b) 205,000,000 shares representing 29.1 percent (out of the 52.8 percent held by CHH) of the issued shares of CH Offshore Ltd; and,
(c) 298,905,500 shares representing 49.1 percent of the issued shares of PT Rig Tenders Indonesia held by CHH.
Upon completion of the above transaction, CHH will hold 28.9 percent of the issued shares of HCB. In addition, CHH will hold 23.8 percent of the issued shares of CH Offshore Ltd and all existing non-marine assets and investments.
