BACKGROUNDThe Company was listed on the Main Board of Singapore Exchange Limited under the name Hong Lai Huat Group Limited on 21 June 2000, before eventually renaming itself HLH Group Limited on 15 June 2007. The Group’s business is diversified in two core areas: agricultural/agribusiness and property investment/development. Its focus in the agricultural division is on corn plantation, processing and related activities that include corn collection and trading of agricultural products. The Group has strategically chosen Cambodia as its platform for the primary agricultural operations, riding on Cambodia’s booming economy coupled with exceptionally rich natural resources with vast tracts of uncultivated land. HLH also operates D’ Kranji Farm Resort, Singapore first agri-tainment centre, integrating farm stay experience and educational tour.

In the property division, the Group is involved in niche property development, property investment and construction management activities.

FIRST RESOURCES LIMITED

The Company was incorporated in Singapore on 9 December 2004.
First Resources Limited is one of the largest private sector producers of crude palm oil in Indonesia. Its primary business activities are cultivating oil palms, harvesting the fresh fruit bunches from those trees and processing crude palm oil and palm kernel which it sells in Indonesia and internationally. All of the Group's operations and assets, consisting primarily of 13 oil palm plantations and six palm oil mills, are located in Riau province, Sumatra, Indonesia.

The Group’s business areas are:

i) Cultivation
The Group purchases most of its seed requirements from Dami Oil Palm Research Station (“DOPR”), a seed producer in Papua New Guinea. It operates an efficient best-practice fertilization system of its trees, using inorganic fertilizers as well as re-using by-products from our mills as fertilizer substitutes.

ii) Harvesting
The Group harvests the fresh fruit bunches of the oil palm trees only when an appropriate quantity of fruit become detached from the fresh fruit bunches, indicating peak ripeness. The ripeness of fresh fruit bunches harvested is critical in maximizing the quality and quantity of palm oil extraction.

iii) Crude palm oil and palm kernel processing
The Group’s primarily produces crude palm oil and palm kernel at its 6 palm oil mills located adjacent to its plantations, allowing us to both reduce our transport costs and maintain the quality of our crude palm oil. It has an aggregate processing capacity of 345 tons of fresh fruit bunches per hour or approximately 2.07 million tons of fresh fruit bunches per year.

The Group’s oil palm plantations has grown significantly since its started the operations in 1992. As of 30 June 2007, the Group has 80,526 hectares under cultivation and 72.2 percent of its cultivated land comprised mature oil palm trees. As of 31 July 31 2007, its owned a total landbank of 184,280 hectares.

GOLDEN AGRI- RESOURCES LIMITED

BACKGROUNDGAR’s primary activities include cultivating and harvesting of oil palm trees; processing of fresh fruit bunches into crude palm oil (“CPO”) and palm kernel oil; and refining CPO into value-added products such as cooking oils, margarine and shortening.
The Company operates a total planted area of 383,000 hectares, as well as 32 palm oil processing mills, three refineries and four kernel crushing plants in Indonesia.

GAR also operates in China through an integrated deep-sea port, storage, oilseed crushing facilities and refinery facilities in Ningbo and Zhuhai.

GAR and its subsidiaries generated revenue of US$1.9 billion in 2007. The Company has been listed on the Singapore Exchange since 1999.

GMG GLOBAL LTD

BACKGROUNDGMG Global was incorporated in Singapore on 23 July 1999 as a public company. The principal activity of GMG Global is investment holding. On 29 December 1999, it acquired all the shares of Electro Magnetics (1992) Ltd which was listed since 1993 and had become insolvent. Electro Magnetics became a subsidiary and is still under judicial management.
GMG is a Singapore-based plantation group dedicated to long term investments in Central and West Africa. It is an integrated producer of natural rubber engaged in the planting, growing, tapping and processing of natural rubber. The Group's emphasis is on producing premium products for the European and US markets.

Currently operating in three countries, namely (i) Singapore where it maintains its corporate Headquarters and marketing/sales arm, (ii) Cameroon, where its wholly-owned subsidiary, GMG International, SA owns a 90 percent stake in Hevecam, which owns an industrial rubber plantation on a land concession of 40,000 hectares and (iii) Ivory Coast, where its 51.2 percent subsidiary, Tropical Rubber Cote d’Ivoire owns and operates a processing facility and a rubber plantation on a land concession of 1,511 hectares (Anguededou Plantation).

As a producer of high quality natural rubber, it focuses on centrifuged latex and tyre-grade rubber; and two supplementary products: block rubbers of latex and skim. With total annual production of around 46,000 tons, it accounts for approximately 55 percent and 14 percent of Cameroon’s and Ivory Coast’s annual rubber exports respectively.

Both the Hevecam and Anguededou Plantations were acquired from the respective governments under State privatisation programmes. The State of Cameroon and the State of Cote d’Ivoire remain as a 10 percent and 20 percent shareholder in Hevecam and Tropical Rubber Cote d’Ivoire respectively.

GLOBAL PALM RESOURCES HLGS LTD

BACKGROUNDThe Company was incorporated in Singapore on 13 November 2009. The Company and its subsidiaries (the “Group”) produce crude palm oil (“CPO”) and palm kernels in Indonesia. The Group’s oil palm plantation is located in West Kalimantan where, the Group believes, the climatic conditions are suitable for oil palm cultivation. The Group’s primary business is in the cultivation of oil palms, harvesting of the fresh fruit bunches (“FFB”) from the oil palm plantation, and processing the FFB (together with purchased FFB) into CPO and palm kernels which are sold domestically within Indonesia.
As at 30 September 2009, the Group holds Hak Guna Usaha (a right over land allowing the exploit, use or cultivation of land covered by such right in Indonesia) to 16,079 hectares (“ha”) of oil palm plantation land of which approximately 11,381 ha are under cultivation, including land cultivated pursuant to the Cooperation Agreements under the Plasma Programme with local farmers. As at 30 September 2009, the Group’s palm oil mill has a FFB processing capacity of 60 tons per hour.

Guangzhao Industrial Forest Biotechnology Group Limited

BACKGROUNDThe Company was incorporated in Singapore on 12 June 2003. On 10 November 2003, the Company changed its name to Guangzhao Industrial Forest Technology Group Pte Ltd. On 28 January 2004, it was renamed to Guangzhao Industrial Forest Biotechnology Group Pte Ltd and subsequently to Guangzhao Industrial Forest Biotechnology Group Limited on 29 March 2004.
Guangzhao Industrial Forest is engaged in the production and sale of the “Guangzhao Fast Growing Poplar” - a variety of fast growing poplar, which can grow up to a harvestable height of 16m in four to five years compared to the more common varieties which may take up to twelve years to reach maturity. In addition,

Its customers include government authorities or state-owned enterprises, undertaking afforestation, reforestation or urban landscaping, and commercial enterprises that manufacture paper pulp or are in the wood processing industries, which cultivate the seedlings and saplings for eventual resale.

In FY2005, the Company made a decision to change the business model. Instead of selling seedlings and sapling, it retains them for eventual harvesting as plantation timber. With planting and
acquisition, its utilised plantation land has increased by 100 percent to an area of over 281,000 mu in nine provinces in China.

Kencana Agri Limited

BACKGROUNDThe Company was incorporated in Singapore on 26 September 2007 as a private limited company, under the name of Kencana Agri Pte Ltd and changed its name to Kencana Agri Limited upon conversion to a public company.
Kencana Agri Limited is a producer of crude palm oil and crude palm kernel oil in Indonesia, with a total land bank of 107,782 hectares strategically located in the Sumatera and Kalimantan regions. The Group has a total planted area of 32,330 hectares of oil palm plantations. The Group has two palm oil mills and two kernel crushing plants, with one of each located on Bangka Island in Sumatera and in South Kalimantan respectively. Its palm oil mills has a total production capacity of 120 MT/hour, and its kernel crushing plants has a combined production capacity of 435 MT/day.

The Group also operates a renewable biomass power plant on Bangka Island which generates electricity by utilising waste recycled from the CPO production process. Most of the electricity generated is sold to PLN, a state-owned electricity company. The balance is used for internal consumption by its plantation located on Bangka Island.

Overseas & General Ltd

BACKGROUNDThe Company was incorporated in the Isle of Man on 26 January 1987 under the name of Odin Mining & Investment Co Ltd. It changed its name to Overseas & General Ltd (OGL) to reflect the Group's broad-based nature and diverse businesses, signalling its departure from a singular involvement in gold mining activity.

OGL is a public-listed Company, listed on both the Australian Stock Exchange (ASX) and the CLOB International, Singapore. Previously the company had been mainly involved in timber processing. However since 2004, OGL saw a change in controlling shareholders who chartered a new direction for the Company and installed a fresh management team of Directors/Corporate personnel. The new shareholders and management team have now have restructured the company so that it will focus on two areas: upstream forestry development i.e. the setting up of Tree Farms (Hardwood Timber Plantations) using the clonal propogation method and secondly, educational developments. The two appear unrelated but they deal with intellectual resources and management of resources. OGL provides a platform to bring together a team of scientists, educationists and corporate personnel to develop and manage knowledge technology and skills. The company is focused on two main areas: development of Selected Hardwood Timber Plantations and Education.

Yamada Green Resources Limited

BACKGROUNDThe Company was incorporated in Singapore on 8 February 2010 under the name of Yamada Green Resources Pte Ltd. On 28 September 2010, the Company was converted into a public limited company and renamed to Yamada Green Resources Limited.
Yamada Green Resources Limited is a major supplier of self-cultivated shiitake mushrooms and operates one of the largest shiitake mushroom cultivation bases in Fujian Province, China.

The Group is also a manufacturer and supplier of processed food products such as mushrooms, and vegetable and convenience food products. The Group’s processed food products are sold in major cities such as Shanghai, Xiamen, Shenzhen and Guangzhou and exported to overseas markets such as Japan and USA.
